If you use the Engula software (whether under an open-source basis or a commercial license), such use is governed solely by the applicable software license terms (for example, the open-source license in the code repository or a commercial agreement separately signed by you and Yunnai), and not by these Terms. These Terms govern only your use of the Website.

This Website provides information related to our products, technology, and activities, including but not limited to:

• An overview and description of Engula (an in-memory database for self-hosted/private deployment)

Without limiting the foregoing, the aggregate liability of Yunnai and the Yunnai Parties for any and all claims arising out of or relating to these Terms or your use of (or inability to use) this Website shall in no event exceed the greater of US $100 or the amount, if any, you have paid to Yunnai for the use of this Website.

4. You may not bring any action or assert any claim arising out of these Terms or your use of this Website more than one (1) year after the cause of action arises.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, some of the above limitations may not apply to you. In that case, the relevant limitations shall apply to the maximum extent permitted by applicable law.

You acknowledge and agree that the above limitations of liability constitute an essential part of the basis of the bargain between you and Yunnai, and that such limitations shall apply even if any remedy fails of its essential purpose.

12. Indemnification#

You agree to defend, indemnify, and hold harmless Yunnai and its affiliates and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Yunnai reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Yunnai in asserting any available defenses.

Any legal action or proceeding arising out of these Terms shall be submitted exclusively to a court of competent jurisdiction in the People's Republic of China, and you and Yunnai hereby consent to the personal jurisdiction of such courts over you/us and accept their venue.

3. Severability If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

4. Assignment You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Yunnai may assign or transfer its rights and obligations under these Terms without restriction and without notice.

5. No Waiver No failure or delay by Yunnai in exercising any right, power, or remedy under these Terms shall constitute a waiver of that or any other right, power, or remedy.

6. Headings The headings in these Terms are for convenience of reference only and shall not affect the interpretation of any provision.

7. Entire Agreement These Terms together with the Privacy Policy constitute the entire agreement between you and Yunnai regarding your use of this Website, and supersede all prior or contemporaneous written or oral agreements, understandings, and representations relating to the subject matter of these Terms.

8. Electronic Communications You agree that communications and transactions between you and Yunnai may be conducted electronically, and that any notice, agreement, disclosure, or other communication we send to you electronically satisfies any legal requirements regarding the form of communication (including any requirement that communications be in writing).
